Terms of Service

1. Agreement

These terms govern your use of toknly (the “Service”), operated at toknly.in. By creating a workspace you agree to them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

2. Accounts

You are responsible for activity under your account and for keeping your credentials and API keys secure. Keys are shown once at creation; treat them as passwords and rotate them in Settings if exposed.

3. Subscriptions and billing

Paid plans are billed monthly in advance through Razorpay. Prices are in Indian Rupees and exclusive of applicable taxes unless stated otherwise. Subscriptions renew automatically until cancelled. You may cancel at any time in Settings; cancellation takes effect at the end of the current billing period and the workspace reverts to the Free plan. Refunds are governed by our refund policy.

4. Plan limits

Each plan has a limit on tracked monthly AI spend. Exceeding it starts a seven-day grace period, after which new usage events are rejected until you upgrade. Data already stored remains readable and exportable regardless of plan state.

5. Acceptable use

Do not use the Service to store prompt or completion content, personal data of end users, or any unlawful material; do not attempt to access another workspace's data, probe or overload the infrastructure, or resell the Service without written permission.

6. Your data

You retain ownership of the usage data you send. You grant us the limited licence needed to store, process and display it back to you. We do not sell it or use identifiable customer data to train models.

7. Availability

The Service is provided on a commercially reasonable-effort basis without an uptime guarantee unless separately agreed in writing. Because toknly is not in your request path, an outage here does not affect your own application.

8. Liability

To the maximum extent permitted by law, the Service is provided “as is”, and our aggregate liability arising from it is limited to the fees you paid in the three months preceding the claim. Cost figures shown are informational and are not a substitute for your provider's invoice.

9. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that breach these terms, with notice where reasonably possible. On termination you may export your data for 30 days, after which it may be deleted.

10. Changes

We may update these terms; material changes will be announced in-app or by email before they take effect. Continued use after that constitutes acceptance.

11. Governing law

These terms are governed by the laws of India, with exclusive jurisdiction in the courts of Bengaluru, Karnataka.
